Micah Elazar represents and advises commercial real estate investors and developers in a broad range of complex commercial real estate transactions across all asset classes, including multifamily, office, hotel, retail, seniors housing, data centers and mixed-use properties. His practice includes structuring and negotiating joint venture arrangements, often for ground-up development investments; handling asset and entity acquisitions and dispositions; drafting and negotiating financing transactions on both the lender and borrower side, including senior and mezzanine loans; and negotiating commercial leases.
Micah also handles matters related to construction, development, management and operation of projects, including construction contracts, architectural services agreements, property management agreements, professional services engagements, and general property and asset management issues.
Micah brings a practical, collaborative and results-oriented approach to achieving his client’s objectives and resolving their legal issues. He works in close partnership with his clients to understand their business goals, risks and strategies.
Representative Transactions
Counsel to the developer of a 19 story, 462,000 square foot specialty care medical office building, in a transaction that involved complex structuring of real property transfers, a development agreement with hospital system, construction and mezzanine financing arrangements, and negotiation of construction contracts and architectural agreements. Selected by Philadelphia Business Journal as the Real Estate Deal of the Year, 2021.
Counsel to the borrowers for a multi-phase, cross-collateralized $260 million permanent loan secured by a mixed-use residential, retail and office development.
Counsel to joint venture equity investor in the acquisition of a multi-state portfolio of medical office buildings.
Counsel to equity investor in connection with joint venture structuring, site acquisitions, and development phases of a planned modular multifamily housing program and factory.
Counsel to investment fund for the origination $55 million senior construction loan secured by a speculative office building.
Professional Background
Prior to joining DRB, Micah was an associate in the Washington D.C. office of Venable LLP for eight years. In such role, he developed significant experience representing a government sponsored enterprise in the origination and acquisition of complex loan portfolios secured by multifamily and senior housing, including a 100+ property, $7 billion credit facility that was the largest ever originated by the client. Micah worked extensively on matters involving mortgage-backed securities, interest rate derivatives and loan workouts.
Community Involvement
Micah serves as pro bono real estate counsel to a local non-profit organization in connection with land transfer and disposition matters.
